
TERMS OF SERVICE

1. ACCEPTANCE OF TERMS
These Terms of Service ("Terms") constitute a legally binding agreement between PediaOne Technologies Limited ("PediaOne", "Company", "we", "our", or "us") and any individual, institution, organization, academy, learning centre, educational provider, business, administrator, tutor, employee, contractor or other user ("User", "Institution", or "you") accessing or using the Services.
By accessing, registering for, subscribing to, or using the Services, you acknowledge that you have read, understood and agree to be bound by these Terms.
If you do not agree to these Terms, you must immediately discontinue use of the Services.
2. DEFINITIONS
For purposes of these Terms:
"Account"
Means any account created on the PediaOne platform.
"Administrator"
Means an individual authorized to manage an Institution's account.
"Content"
Means all information, files, records, documents, communications, text, images, videos, educational materials, data and other content uploaded, submitted, stored or transmitted through the Services.
"Institution"
Means any school, academy, learning centre, tutoring business, educational organization, company or entity using the Services.
"Platform"
Means the PediaOne software platform, websites, applications, APIs, portals, infrastructure and related technologies.
"Services"
Means all software, infrastructure, functionality, products and services provided by PediaOne.
"User"
Means any person who accesses or uses the Services.
3. NATURE OF THE SERVICES
PediaOne is a Software-as-a-Service (SaaS) technology provider.
PediaOne provides digital infrastructure, software tools, portals, communication systems and technology solutions that enable institutions and organizations to operate their own digital environments.
PediaOne does not:

operate schools;
-
operate academies;
-
operate learning centres;
-
operate tutoring businesses;
-
provide educational services;
-
recruit tutors;
-
employ tutors;
-
supervise tutors;
-
manage tutors;
-
manage students;
-
conduct admissions;
-
administer examinations;
-
determine academic outcomes;
-
control institutional operations.
Institutions using the Platform operate independently and remain solely responsible for their own activities.
4. ACCOUNT REGISTRATION
To access certain Services, users may be required to create an Account.
Users agree that all information provided during registration shall be:

accurate;
-
current;
-
complete;
-
truthful.
Users shall promptly update information where changes occur.
PediaOne reserves the right to suspend or terminate Accounts containing inaccurate or misleading information.
5. ACCOUNT SECURITY
Users are solely responsible for:
-
maintaining confidentiality of login credentials;
-
safeguarding passwords;
-
restricting unauthorized access to Accounts;
-
activities conducted through their Accounts.
Users must immediately notify PediaOne of any suspected unauthorized access or security incident.
PediaOne shall not be liable for losses resulting from failure to protect Account credentials.
6. INDEPENDENT OPERATION OF INSTITUTIONS
Each Institution using the Platform operates independently from PediaOne.
Institutions are solely responsible for:

educational programs;
-
administrative operations;
-
staffing decisions;
-
student management;
-
tutor management;
-
communications;
-
admissions;
-
academic assessments;
-
educational outcomes;
-
compliance obligations.
Nothing in these Terms shall create any partnership, agency, employment, joint venture or similar relationship between PediaOne and any Institution.
7. INSTITUTION RESPONSIBILITIES
Each Institution represents and warrants that it shall:

comply with applicable laws;
-
obtain all required consents;
-
maintain necessary authorizations;
-
ensure lawful processing of information;
-
manage its users responsibly;
-
ensure the accuracy of information uploaded to the Platform.
Institutions remain fully responsible for their own operations and decisions.
8. TUTORS, STAFF AND STUDENTS
Tutors, teachers, instructors, employees, contractors, students and other individuals appearing within an Institution's account are added, managed and controlled solely by that Institution.
PediaOne does not:

recruit educational personnel;
-
employ educational personnel;
-
supervise educational personnel;
-
evaluate educational personnel;
-
manage educational personnel;
-
manage students.
Any employment, educational, contractual or service relationship exists solely between the Institution and the relevant individual.
PediaOne shall not be responsible for the conduct, qualifications, actions, omissions or performance of any Institution, tutor, teacher, employee, contractor or student.
9. USER CONTENT
Users retain responsibility for all Content uploaded, submitted, stored or transmitted through the Services.
Users represent and warrant that they possess all necessary rights, permissions and legal authority to upload such Content.
Users shall not upload Content that:
-
violates applicable law;
-
infringes intellectual property rights;
-
contains malicious software;
-
violates privacy rights;
-
promotes unlawful conduct;
-
violates third-party rights.
10. PLATFORM RIGHTS
To provide the Services, users grant PediaOne a limited, non-exclusive, worldwide right to host, store, process, transmit and display Content solely as necessary to operate, maintain and improve the Services.
Nothing in these Terms transfers ownership of user Content to PediaOne.
11. ACCEPTABLE USE
Users shall not:

attempt unauthorized access;
-
reverse engineer the Platform;
-
interfere with platform operations;
-
upload malicious code;
-
engage in fraudulent conduct;
-
impersonate another person;
-
violate applicable laws;
-
use the Services for unlawful purposes.
PediaOne reserves the right to investigate violations and take appropriate action.
12. INTELLECTUAL PROPERTY
All rights, title and interest in and to the Platform, including:
-
software;
-
source code;
-
object code;
-
trademarks;
-
logos;
-
branding;
-
interfaces;
-
designs;
-
documentation;
-
proprietary technologies;
are and shall remain the exclusive property of PediaOne or its licensors.
Nothing in these Terms transfers ownership of PediaOne intellectual property.
13. FEEDBACK
Any suggestions, recommendations, ideas or feedback submitted to PediaOne may be used by PediaOne without restriction or compensation.
14. THIRD-PARTY SERVICES
The Services may integrate with or provide access to third-party services.
PediaOne does not control and shall not be responsible for:
-
third-party websites;
-
third-party software;
-
third-party services;
-
third-party content.
Use of third-party services is at the user's own risk.
15. SERVICE AVAILABILITY
PediaOne will use commercially reasonable efforts to maintain platform availability.
However, PediaOne does not guarantee:
-
uninterrupted operation;
-
continuous availability;
-
error-free performance;
-
compatibility with all systems.
Maintenance, upgrades, outages and interruptions may occur.
16. DATA BACKUPS
Users remain responsible for maintaining copies of critical information.
While PediaOne may maintain backups for operational purposes, users should not rely exclusively on the Platform for data preservation.
17. SUSPENSION AND TERMINATION
PediaOne may suspend, restrict or terminate access to the Services where:
-
these Terms are violated;
-
security risks arise;
-
unlawful activity is suspected;
-
required by law;
-
necessary to protect the Platform or other users.
PediaOne may also remove Content where reasonably necessary to comply with law or protect platform integrity.
18. DISCLAIMERS
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEDIAONE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF:
-
MERCHANTABILITY;
-
FITNESS FOR A PARTICULAR PURPOSE;
-
NON-INFRINGEMENT;
-
ACCURACY;
-
RELIABILITY;
-
AVAILABILITY.
19. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEDIAONE SHALL NOT BE LIABLE FOR:
-
indirect damages;
-
consequential damages;
-
incidental damages;
-
special damages;
-
punitive damages;
-
loss of profits;
-
loss of revenue;
-
loss of business opportunities;
-
loss of data;
-
educational outcomes;
-
actions of institutions;
-
actions of tutors;
-
actions of students;
-
content uploaded by users.
PediaOne's aggregate liability arising out of or relating to the Services shall not exceed the total amount paid by the affected customer to PediaOne during the twelve (12) months immediately preceding the event giving rise to the claim.
Where no fees have been paid, liability shall be limited to the maximum extent permitted by applicable law.
20. INDEMNIFICATION
Users agree to defend, indemnify and hold harmless PediaOne, its directors, officers, employees, shareholders, affiliates, successors and agents from any claims, damages, liabilities, costs or expenses arising out of:

user Content;
-
violation of these Terms;
-
violation of applicable law;
-
operation of an Institution using the Platform;
-
infringement of third-party rights.
21. FORCE MAJEURE
PediaOne shall not be liable for delays, interruptions or failures resulting from events beyond its reasonable control, including:
-
natural disasters;
-
acts of government;
-
internet outages;
-
cyberattacks;
-
power failures;
-
labor disputes;
-
telecommunications failures.
22. PRIVACY
Use of the Services is also governed by PediaOne's Privacy Policy, which is incorporated into these Terms by reference.
23. MODIFICATIONS TO THE SERVICES
PediaOne may modify, update, improve, discontinue or replace any aspect of the Services at any time.
PediaOne shall not be liable for modifications or discontinuation of Services.
24. CHANGES TO THESE TERMS
PediaOne reserves the right to amend these Terms at any time.
Updated Terms shall become effective upon publication on the Platform or website.
Continued use of the Services after publication constitutes acceptance of the revised Terms.
25. GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
26. DISPUTE RESOLUTION
The parties shall first attempt in good faith to resolve disputes through negotiation.
If a dispute cannot be resolved through negotiation, the parties shall attempt mediation in Lagos State, Nigeria.
Where mediation is unsuccessful, the dispute shall be submitted to the courts of competent jurisdiction in Nigeria.
27. SEVERABILITY
If any provision of these Terms is determined to be invalid, illegal or unenforceable, the remaining provisions shall remain in full force and effect.
28. ENTIRE AGREEMENT
These Terms, together with the Privacy Policy and any applicable written agreements between the parties, constitute the entire agreement relating to the Services and supersede all prior discussions, understandings and agreements.
